PSP Standard Terms & Conditions of Sale

1 Condtions:

1.1 “PSP” (Panel Sharing Prototypes) is the online service provided by the company to which these Standard Terms & Conditions apply.

1.2 In these conditions “the company” means ALR Services Ltd. The “customer” means the person, persons, or organisation whom intend to form a contract with ALR Services Ltd for the purposes or procuring goods or services from the company.

1.3 English Law shall be the proper law of the contract.

2 Indemnities:

2.1 The customer will warrant the the supply of any goods to the customer’s order or design will not involve the company in the infringement of patent, registered design, trademark, copyright or any other right in the manufacture of such goods.

2.2 The customer will indemnify the company against all claims, demands, costs, charges and expenses arising from or incurred by reason of any loss, injury, damage howsoever caused or sustained by any third party after delivery of the goods.

3 Guarantee & Liability, Refund & Replacement:

3.1 The company guarantees that the quality of goods supplied will be fit for purpose taking into account the customers design files and conform to the specification as stated on the order acknowledgement supplied by the company.

3.2 Should the goods supplied not be fit for purpose, subject to clause 3.1, the company reserves the right to refund or replace the goods once they have been returned to the company.

3.3 At all times the company’s liability shall be limited to the cost of the goods ordered by the customer as defined by the order acknowledgement supplied by the company.

4 Delivery:

4.1 The company undertakes to use its best endeavours to dispatch the goods in order to achieve a stated delivery date, but does not guarantee to do so. Time of delivery shall not be the essence of the contract. A reasonable extension of time for delivery shall be granted for causes beyond the reasonable control of the company.

5 Cancellation:

5.1 The company shall be entitled to suspend any delivery if payment is overdue or withdrawn.

5.2 The customer may cancel an order at anytime but will be liable for all costs incurred by the company up to the time of cancellation not exceeding the cost of the goods as acknowledged by the company.

6 Payment:

6.1 Payment for goods ordered through the PSP online service must me made by credit card at the time of ordering.

6.2 The company may offer the customer credit terms at which time these PSP Standard Terms & Conditions Of Sale will be replaced by ALR Services Standard Terms & Conditions of Sale.

6.3 Currency for all payments will be taken in Sterling (GB Pounds, £)

7 Risk & Title

7.1 The risk of the goods shall pass to the customer upon delivery to the address as stated on the order acknowledgement supplied by the company

7.2 The property and the title of any goods supplied by the company shall not pass to the customer until all amounts due to the company in respect of the goods ordered have been paid for in full.

7.3 If the customer fails to make any payment to the company when due or becomes insolvent or bankrupt or goes into liquidation or makes any arrangements with its creditors or has a receiver appointed over any of its property or undertaking, then the company will retain title and claim to any goods supplied. If the goods become “mixed goods” the company still retains the title and claim to the goods supplied.
